Commitment Edits is owned and operated by NG Design and Media LLC ("Company"). By accessing or using our website or services, you agree to comply with and be bound by the following Terms and Conditions which include our Privacy Policy. Please read these terms and conditions carefully before using our services, making any purchases, or submitting any Materials or information. 

Services Provided

Company specializes in creating customized digital designs for amateur and collegiate athletes (“Design Services”). These designs are based on Materials, photographs, and information, including personal information (“Materials”) provided by our User’s. Any information and Materials submitted are used for the purpose of the requested digital design and are otherwise governed by these Terms and Conditions and our Privacy Policy.

User Responsibilities

You represent and warrant that:

  1. You are the rightful owner of all Materials or have obtained all necessary rights, permissions, and licenses to share the Materials with Company and use the same as contemplated by your requested Design Services.

  2. The Materials and the intended use thereof will not infringe upon the rights of any third party, including but not limited to copyright or other intellectual property rights, privacy rights, or publicity rights.

  3. All Materials provided or otherwise made available to Company are accurate, complete, and free from any misleading, false, or defamatory statements.

Use of Materials

You authorize Company to use all Materials for the provision of Design Services and otherwise as may be provided for in these Terms and Conditions

Representations, Warranties, and Indemnification 

By providing or otherwise making available Materials to Company, you represent and warrant that:

  1. Company is not responsible for verifying your ownership or right to use any Materials.

  2. You will indemnify, defend, and hold harmless Company, its members, managers, employees, agents, and representatives, from any and all claims, demands, damages, liabilities, losses, costs, fees, and expenses (including reasonable attorney’s fees) arising out of, in connection with, or otherwise in any manner related to:

    • Your breach of any representation, warranty, obligation or agreement contained in these Terms and Conditions;

    • Any claim that Material(s) you provided or otherwise made available to Company infringes, misappropriates, or violates the property rights, including copyright and any other intellectual property rights, or other rights of any third party; or

  3. Company assumes no responsibility for resolving disputes with third parties regarding ownership, use of, or rights to Materials.

Intellectual Property

The Design Services created by Company remain the exclusive property of Company until the later to occur of (a) full payment has been received; and (b) full completion of the foregoing, the property rights to the Design Services are transferred to you, provided however that Company shall retain (i) a non-exclusive, non-transferable, non-revocable license in perpetuity to publish and otherwise utilize the Materials and Design Services for its marketing and promotional purposes; and (ii) the exclusive ownership and intellectual property rights to any and all  materials, information, tools, data, documents, and templates that were developed or conceived by Company to perform generalized functions or entail general concepts not specific to the particular requirements of the subject Design Services.

Refunds and Cancellations

Due to the nature of the Design Services, refunds are not available once a paid request has been submitted. Cancellations requested prior to Company’s commencement of any work with respect to a submitted request may be eligible for a refund at the sole discretion of Company.

Changes to Terms

Company reserves the right to update and otherwise modify these Terms and Conditions at any time at any time and from time-to-time and without requirements of notice. Changes are effective immediately upon posting unless otherwise expressly stated. Continued use of our website or services constitutes your acceptance of the modified Terms and Conditions.
